TERMS OF SERVICE

1. GENERAL

This website and platform (the "Site") is owned and operated by ScaleTutor, a brand and service of The Teacher Project ("we," "us," or "our"). By accessing or using the Site in any manner — whether automated or otherwise — you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms that may apply to specific sections or services.

We reserve the right to update or modify these Terms at any time. Revised Terms will be posted on this Site with an updated effective date. By continuing to use the Service after changes are posted, you accept the revised Terms.

2. FREE TRIAL OFFER

Where we offer a free trial of ScaleTutor, the following conditions apply. Free trials begin immediately upon registration and run for the period specified on the Site at the time you register. Free trials are available to new subscribers only; previous subscribers or anyone who has already benefited from a free trial are not eligible for a further free trial period.

To avoid being charged, you must cancel your free trial through your Account Dashboard before the trial end date. Cancellation instructions are available in your dashboard at any time. If you do not cancel before the trial expires, your account will automatically convert to a paid subscription and the applicable fee will be charged to your payment method on file. By registering for a free trial and providing payment details, you expressly authorise this automatic conversion and charge.

We reserve the right to modify, limit, or withdraw free trial offers at any time without notice.

3. SUBSCRIPTION TERMS AND AUTOMATIC PAYMENT

By subscribing to ScaleTutor, you agree to the following payment terms:

3.1 Authorisation to Charge

When you provide a payment method and subscribe — whether directly or following a free trial — you expressly authorise ScaleTutor and The Teacher Project to charge your payment method on a recurring basis (monthly or annually, depending on the plan selected) without requiring further authorisation for each billing cycle, unless you cancel in accordance with these Terms.

3.2 Billing Cycle & Charges

Your subscription fee, plus any applicable taxes, will be charged automatically on your designated billing date each month or year. The first charge occurs when your account is set up (or when your free trial ends, if applicable). Failure to use the Service does not relieve you of your payment obligations under these Terms.

3.3 Price Changes

ScaleTutor reserves the right to change subscription pricing at any time. If your subscription fee changes, we will notify you by email at least 14 days before the new rate takes effect, giving you an opportunity to cancel before you are charged at the new rate.

3.4 Failed Payments

If we are unable to process your payment for any reason, we may, at our sole discretion, suspend or restrict access to your account while we retain your data and attempt to contact you to resolve the issue. We may retry the charge automatically. Continued failure to resolve a payment issue may result in cancellation of your subscription. You remain liable for any outstanding amounts owed.

3.5 Updating Your Payment Method

You may update your payment method at any time via your Account Dashboard. It is your responsibility to ensure your payment details remain current and valid at all times.

IMPORTANT: IF YOU HAVE A MONTHLY OR ANNUAL SUBSCRIPTION AND HAVE PROVIDED A VALID PAYMENT METHOD, EACH PAYMENT WILL BE AUTOMATICALLY PROCESSED ON YOUR DESIGNATED BILLING DATE AND CHARGED TO THE PAYMENT METHOD ON FILE WITHOUT FURTHER NOTICE. YOUR SUBSCRIPTION WILL CONTINUE AND YOU WILL CONTINUE TO BE CHARGED UNTIL YOU CANCEL IN ACCORDANCE WITH SECTION 4 OF THESE TERMS.

4. USAGE-BASED CHARGES

In addition to your base subscription fee, certain features and services within ScaleTutor may attract additional usage-based charges. By using these features, you acknowledge and agree to the following:

4.1 What Usage-Based Charges Are

Usage-based charges are fees incurred as a result of your use of specific platform features beyond what is included in your base subscription. These may include, but are not limited to: SMS and email messaging sent through the platform, AI-generated content or automation credits, additional sub-accounts or contacts beyond your plan limit, premium integrations, and any other metered or consumption-based features made available within the platform.

4.2 Your Direct Liability

You are directly and personally liable for all usage-based charges incurred on your account, whether incurred by you or by any user, sub-account, or automated process operating under your account. Usage-based charges are your sole responsibility and are not covered by or offset against your base subscription fee.

4.3 Automatic Billing of Usage Charges

Usage-based charges will be calculated and billed automatically to your payment method on file, either at the time of use, at the end of your billing cycle, or at such intervals as we determine. By using any feature that incurs usage-based charges, you expressly authorise ScaleTutor and The Teacher Project to charge those amounts to your payment method without further notice or confirmation for each individual charge.

4.4 Monitoring Your Usage

You are responsible for monitoring your own usage and ensuring sufficient funds are available on your payment method to cover all usage-based charges. ScaleTutor may, at its discretion, impose usage limits, require pre-payment of usage credits, or suspend access to metered features if payment cannot be collected. We are not liable for any disruption to your business or operations arising from suspension due to unpaid usage charges.

4.5 Disputes

If you believe a usage-based charge has been applied in error, you must notify us in writing at [email protected] within 14 days of the charge appearing on your account. Failure to raise a dispute within this window constitutes acceptance of the charge. Disputed charges do not suspend your obligation to pay undisputed amounts.

5. CANCELLATION POLICY

You may cancel your ScaleTutor subscription at any time. Cancellations must be made through your Account Dashboard or by submitting a written request to [email protected]. Free trial cancellations must be completed before the trial end date to avoid being charged, as set out in Section 2 above.

For monthly subscribers, cancellation takes effect at the end of the current billing period. No refunds or pro-rata credits are issued for any unused portion of the month. For annual subscribers, cancellation takes effect at the end of the current annual term and no refunds are issued for any remaining portion of the year. Upon cancellation, your access to the Service will continue until the end of your paid period, after which your account will be deactivated.

ScaleTutor reserves the right to cancel or terminate your subscription at any time in the event of a breach of these Terms, without refund.

6. OUR LIMITED LICENSE TO YOU

This Site and all materials available on it are the property of ScaleTutor, The Teacher Project, and/or our affiliates or licensors, and are protected by copyright, trademark, and other intellectual property laws. All rights reserved.

The Site is provided solely for your personal, non-commercial use. These Terms grant you a personal, revocable, limited, non-exclusive, royalty-free, non-transferable, and non-sub-licensable licence to use the Site, conditional on your continued compliance with these Terms.

You may not use the Site or its materials in a manner that infringes our rights or that has not been authorised by us. Without limitation, you may not modify, copy, reproduce, publish, upload, transmit, sell, decompile, reverse engineer, create derivative works from, frame, mirror, or distribute any material from the Site without our prior written consent.

7. USER OBLIGATIONS

You access the Site on your own volition and agree to provide lawful and accurate information at all times. You represent that you are at least the legal age of majority in your jurisdiction. You agree to comply with all applicable local, national, and international laws and regulations.

If you permit a minor to use the Site, you are solely responsible for: (i) their online conduct; (ii) monitoring their access and use; and (iii) any consequences arising from such use.

8. YOUR LICENSE TO US

By submitting or posting any material (including comments, posts, photos, or videos) to us via the Site, social media, or email, you represent that: (i) you own the material or have the express consent of the owner; and (ii) you are at least the legal age of majority.

In submitting material, you grant The Teacher Project a royalty-free, perpetual, irrevocable, non-exclusive, worldwide licence to use, copy, modify, transmit, distribute, and publicly display such material in any medium, now known or hereafter developed, for any purpose. The Teacher Project has the right, but not the obligation, to use or display any such content, and may cease doing so at any time.

9. LIMITATIONS ON LINKING AND FRAMING

You may establish a hyperlink to the Site provided the link does not imply any sponsorship or endorsement by us. Without our prior written permission, you may not frame, inline link, or incorporate any content from the Site into another website or service.

10. DISCLAIMERS

We may provide links to third-party websites. Such links do not constitute an endorsement of those sites, their content, or the products and services they offer. We expressly disclaim all responsibility for third-party content.

THE INFORMATION, PRODUCTS, AND SERVICES OFFERED ON OR THROUGH THE SITE ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. DISCLAIMERS

UNDER NO CIRCUMSTANCES SHALL SCALETUTOR, THE TEACHER PROJECT, OR THEIR SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE OR SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE TEACHER PROJECT IS NOT AN INVESTMENT ADVISORY SERVICE AND DOES NOT PROVIDE FINANCIAL, TAX, ACCOUNTING, OR LEGAL ADVICE. THE SITE EXISTS FOR EDUCATIONAL PURPOSES ONLY. ALL INFORMATION IS FOR GENERAL INFORMATIONAL PURPOSES AND SHOULD NOT BE RELIED UPON FOR INVESTMENT OR FINANCIAL DECISIONS.

You agree to defend, indemnify, and hold harmless The Teacher Project, its affiliates, officers, directors, employees, and agents from any claims, liabilities, costs, and expenses (including legal fees) arising from your breach of these Terms.

12. ONLINE COMMERCE

Certain sections of the Site may allow you to purchase products or services from third-party providers. We are not responsible for the quality, accuracy, or reliability of such products or services. When purchasing through a third-party merchant, that merchant's privacy and data collection practices may differ from ours.

You agree to be financially responsible for all purchases made by you or on your behalf through the Site. Purchases are for personal use only. Sharing of access or purchased content is not permitted and constitutes an infringing use of our copyrighted material.

If payment for a subscription or course is declined, access to premium content may be automatically suspended. We will make reasonable efforts to contact you to resolve the issue, after which access will be restored

13. INTERACTIVE FEATURES

The Site may include message boards, chat rooms, community groups, or other interactive features. You are solely responsible for the content you post. You must not restrict or inhibit any other user from using the Site, impersonate any person or entity, or misrepresent your affiliation with any person or entity. You must not interfere with or disrupt any servers or networks used to provide the Site, or use the Site to engage in, encourage, or facilitate illegal activity or harm to any person.

You must not gain unauthorised access to the Site or any account, computer system, or network connected to the Site. You must not post or transmit unlawful, offensive, defamatory, obscene, or infringing content of any kind, content containing viruses or other harmful components, or use the Site for unsolicited commercial solicitation or to harvest personal data.

The Teacher Project reserves the right to remove or alter any user-generated content at any time and for any reason. We also reserve the right to remove any community member whose behaviour is deemed detrimental to the community, at our sole discretion.

14. REGISTRATION & PASSWORDS

To access certain features, you may be required to register and provide personal information. You agree to provide true, accurate, and complete information and to keep it updated. We reserve the right to suspend or terminate accounts where information is found to be inaccurate or incomplete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use of your account at [email protected].

15. ENFORCING SECURITY

You may not use the Site or The Teacher Project's systems or networks to engage in, foster, or promote illegal, abusive, or irresponsible behaviour. We reserve the right to monitor activity on the Site and to comply with all applicable court orders, subpoenas, and legal requests.

16. INJUNCTIVE RELIEF

You acknowledge that a breach or threatened breach of these Terms may cause irreparable harm to ScaleTutor and The Teacher Project for which monetary damages alone would be an inadequate remedy. Accordingly, you agree that The Teacher Project shall be entitled, in addition to any other available remedies, to seek and be awarded an injunction or other appropriate equitable relief from a court of competent jurisdiction to restrain any such breach or threatened breach, without the requirement to post any bond or other security.

17. TERMINATION

These Terms take effect the moment you register for or begin using the Site. We may cancel or terminate your right to use the Site at any time without notice, including in the event of a breach of these Terms. Upon termination, you are no longer authorised to access the affected portion of the Site.

You may terminate your use of the Site at any time by ceasing to use it and cancelling any active subscription in accordance with Section 4. All provisions which by their nature should survive termination — including intellectual property rights, disclaimers, and limitations of liability — will continue to apply.

18. WAIVER & SEVERABILITY

Failure to insist on strict performance of any provision of these Terms does not constitute a waiver of any subsequent default or failure of performance. If any part of these Terms is found to be invalid or unenforceable, that provision will be replaced by a valid, enforceable provision that most closely matches the original intent, and the remainder of these Terms will remain in full effect.

19. HEALTH ATTESTATION

On purchasing any programme or product from The Teacher Project, you attest that you are fully able to participate in any exercise regimen of your own design or choosing without undue risk.

20. CLIENT WAIVER

On purchasing any products or services from The Teacher Project and becoming a client, you acknowledge that you are not obliged to act on any information, suggestion, advice, or guidance provided by The Teacher Project as part of any programme. If you choose to act on such guidance, you do so entirely at your own risk. You unconditionally waive any rights of action against The Teacher Project in relation to such information or guidance, and are advised to seek independent professional advice before acting on any information provided within a programme.

21. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any legal proceedings relating to these Terms shall take place in the courts of England and Wales.

22. ENTIRE AGREEMENT

No joint venture, partnership, employment, or agency relationship exists between you and The Teacher Project as a result of these Terms. These Terms represent the entire agreement between you and The Teacher Project with respect to your use of the Site and supersede all prior or contemporaneous communications and proposals. You may not assign or transfer any rights under these Terms without our prior written consent.

23. COMMUNICATIONS FROM US

By registering on the Site, you represent that: (1) you are at least 18 years of age, or the legal age of majority in your jurisdiction; (2) you have read, understood, and agree to these Terms; and (3) you will not re-sell, re-distribute, or export any product or service you obtain through the Site.

You agree that ScaleTutor and The Teacher Project may contact you by email, telephone, SMS, or post for purposes including follow-up, satisfaction surveys, and order enquiries.
